Series A financing for Adverity

act legal Austria advises aws Gründerfonds in the course of Series A financing for Adverity.

Adverity GmbH, a company specialised in integration and analysis of marketing data, successfuly closed a Series A financing round in the amount of MEUR 3.2. Besides Mangrove Capital Partners as lead investor, also already existing investors participated in this round.

Advice on the purchase of five HopStop retail parks

act legal Poland advised CPI Property Group, a European investor with the largest portfolio of retail properties in the Czech Republic. The group entered into an agreement with Katharsis Development, a Polish developer, to acquire five retail parks known under the common name of “HopStop.” 

act BSWW was assisting the investor at all stages of the acquisition of property portfolio with a total area of 19,000 square meters. The range of legal services related to this share deal included a due diligence analysis of the properties and their owners, negotiations of contractual provisions, preparation of investment loan repayment documentation and preparation of agreements.

The transaction concerns retail developments located in Radom, Zamość (at Sądowa and Hrubieszowska Street) and Warszawa-Rembertów, with the last one (now at the pre-development stage) about to emerge in Siedlce.

The project team was managed by Marek Wojnar (managing partner and attorney-at-law) and Marta Kosiedowska (partner and legal counsel), supported by Katarzyna Góra (associate) and Marlena Suchonos (associate).

Tourism Financing and State Aid

Martin Wiedenbauer has published an article in ecolex‘ March edition (ecolex 2018, 261), a renowned Austrian journal for commercial law.

Many EU Member States finance tourism activities and run their own tourism offices or location development departments. In this context aid is often granted for the construction and operation of infrastructures of touristic interest or for activities that are otherwise relevant to the tourism sector (e.g. destination marketing, the distribution of touristic material etc).

In his article, Martin Wiedenbauer outlines the recent developments and best practice in state aid law to avoid the need for notification to the Commission.

act legal Czech Republic advises on the sale of ASTRATEX

The owners of ASTRATEX rely on act legal Czech Republic in the sale of their majority stake to the investment group Hartenberg Holding, owned by Prime Minister Andrej Babiš. With its acquisition of ASTRATEX, Hartenberg Holding enters the e-commerce business.
The transaction value is in the order of several hundreds of millions of crowns. ŘANDA HAVEL LEGAL’s advisory team was headed by Alois Šatava and Michal Pálinkás.


ASTRATEX is the leader in on-line sales of lingerie in the Czech Republic, Slovakia, Poland and Romania, and is the third-most visited lingerie website across Europe. Recently, the company also launched operations in Hungary, Bulgaria and Austria.

Besides Hartenberg, ASTRATEX’s other investors include Tomáš Fikar and Roman Oravec, entrepreneurs from the area of e-commerce and online marketing, and Jan Svoboda, a partner in the company Programia, which supplies companies with e-shops. Petr Vít, ASTRATEX’s founder, retains more than a quarter share in the company. The former owners of the company will remain active, albeit as minority shareholders.

act legal Germany advises on the sale of a prestige office building in the centre of Frankfurt

Drestate sells Frankfurt’s Rahmhof/Schillerpassage to InfraRed and relies on act legal Germany’s advice.

The office building – located directly in the centre of Frankfurt – contains a big public underground car park and a shopping mall with shops and restaurants of approximately 900 m² in the ground floor. The total rentable area is about 8,900 m². The building under preservation order was built with a neoclassicist front in 1907 and was extensively redeveloped in 1992. In 2007, the listed real estate company Drestate (Deutsche Real Estate Aktiengesellschaft) acquired the property, which is located nearby the old building of the Frankfurt Stock Exchange.

Drestate is selling Rahmhof/Schillerpassage to InfraRed Capital Partners, a British investor and a global asset manager with more than 120 employees and a strong focus on real estate.

The parties have agreed not to disclose the purchase price.

Successful closing of a new financing round in t-matix
