Clarion Events Limited acquired Premium Exhibitions group

act legal Germany advises Clarion Events Limited (London) on its acquisition of the Premium Exhibitions Group (Berlin).

The M&A team of AC Tischendorf was led by Dr. Matthias Müller, MBA (Corporate, M&A) and Dr. Tara Kamiyar-Müller (Real Estate) and further consisted of Fabian Brocke, LL.M. (Corporate), Dr. Florian Wäßle, LL.M. (IP, IT) and Dr. Fabian Laugwitz, MBA, LL.M. (Real Estate).

Premium Exhibitions Group is the organizer and owner of the leading fashion shows in Germany. One of its sellers was the international Waterland Private Equity group.

act legal Poland advises on ETHOS leasing

Kulczyk Silverstein Properties (the lessor) relies on BSWW with respect to lease agreement negotiations with tenants of retail and office spaces, incl. HBO and Hogan Lovells.

The law firm’s Warsaw-based team is supporting the client during the leasing process, i.e. in negotiations of lease agreements’ provisions with prospective tenants of retail and office areas. The team is made up of Marta Kosiedowska (legal counsel), Magdalena Banaszczyk-Głowacka (legal counsel) and Izabela Żmijewska (attorney-at-law).

“We are happy to see that Kulczyk Silverstein Properties continues to use our services when it comes to leasing subsequent parts of the ETHOS building. It is worth noting that the occupancy rate has already reached 70%,” says Marta Kosiedowska.

 ETHOS office and retail building, located at Plac Trzech Krzyży, in a prominent quarter of Warsaw, offers a total of 17,000 square meters of office and commercial space. Approx. 5,000 square meters is intended for stores of prestigious and exclusive brands, including ones which have been absent from Poland thus far. The complex features c. 180 underground and surface parking spaces. The investor will soon announce the names of new tenants that have decided to tap into an opportunity to locate their premises in the heart of the so-called “Royal Route,” close to the Warsaw Stock Exchange, Sheraton Hotel, government buildings, the Parliament, the Senate and numerous diplomatic buildings.

act legal Poland advises on merger of Fortuna Group companies

BSWW has provided legal consulting services in relation to an internal merger of subsidiaries to its client FORTUNA Online Zakłady Bukmacherskie sp. z o.o.

Marta Kosiedowska, partner and legal counsel of act legal Poland, was running the project, supported by Marlena Suchonos, trainee attorney-at-law. The Warsaw-based team was responsible for preparing merger documentation and ensuring adequate completion of the whole process.

Difficult restructuring with borrower’s note loans

Dr. Roman Hager, LL.M. (act legal Austria) and Dr. Sven Tischendorf, MBA (act legal Germany) were cited in the popular Austrian newspaper “Der Standard” about difficult restructuring with borrower’s note loans. 

Based on the problems of Kika/Leiner’s parent company Steinhoff regarding this particular financing instrument the authors are explaining that all its advantages are accompanied by disadvantages in case of a company’s crisis.

Lecture on Distressed M&A at the Frankfurt School of Finance & Management

Dr. Sven Tischendorf, MBA from act legal Germany is lecturer on the Frankfurt School of Finance & Management’s M&A master course. The business school has been listed number three amongst all German business schools in the Financial Times European Business School Ranking 2017.

On 16 January 2018, Dr. Sven Tischendorf, MBA will give a lecture on “Distressed M&A”. He will talk about possible courses of action in crisis, the distressed M&A process itself and liability risks in insolvency.

The authors outline of the relevant legal provisions for asset manager and capital market participants by taking into account the new regulation which is relevant since beginning of 2018.

Tomáš Slabý named a partner of act legal Czech Republic

Tomáš Slabý is new partner at act legal Czech Republic, ŘANDA HAVEL LEGAL.

Currently, Tomáš Slabý focuses on real estate law and construction, representing domestic and international clients in real estate transactions and investment projects in construction. He has extensive experience preparing and negotiating comprehensive contractual documentation, as well as with representing clients in permit proceedings before administrative bodies. Tomáš Slabý also represents clients in judicial and arbitration proceedings connected with real estate and construction. He speaks fluent English.
