Advice on investment agreement of Rank Progress with Vantage Development

The lawyers from act legal Poland, BSWW, were advising Rank Progress S.A. on the joint venture agreement and the subsequent investment contract between Vantage Development S.A. and Rank Progress S.A., covering the implementation of a development project on a 14-hectare land plot in Wrocław, as part of which the parties are planning to build a total of approx. 2,400 apartments and commercial units (in two phases), as well as roughly 14,500 m² of office space.

The scope of consulting services involved preparation and negotiations of the content of the JV and investment agreements, as well as other documents signed in relation to the transaction.

The law firm also offered Rank Progress S.A. comprehensive advice within the area of competition law, including an analysis of whether it is required to obtain a consent of the Head of the Office of Competition and Consumer Protection.

 “Following two large transactions carried out by our law firm for Rank Progress S.A., i.e. the sale of Galeria Aviator to an entity from Leclerc capital group for over PLN 67m net, and the sale of Galeria Świdnicka to a company belonging to Catalyst Capital fund (transaction value: over EUR 26 million), this is yet another big and complex deal which Rank Progress asked us to handle,” says Michał Wielhorski, attorney-at-law and managing partner who was heading the team. Other members of the project team were Marcin Kroll (attorney-at-law and partner) and Mateusz Prokopiuk (trainee attorney-at-law).

Founding of „eSport-Bund Deutschland“ (ESBD) in the offices of act legal Germany

Consortium enters into public procurement contract for airport transport service

After three appeal proceedings, a consortium made up of General Aviation Services Sp. z o.o. and Heli Holland Air Service B.V. (the “Consortium”) signed a 3-year air transport services agreement with Lotos Petrobaltic S.A. (tendering process no. NH-ZP-12/2016).

Lawyers from act legal Poland, BSWW, were advising the Consortium on bid preparation and activities taken as part of the process (incl. responses to the contracting authority’s notices). They were also representing the Consortium efficiently during appeal proceedings, incl. one initiated as a consequence of an appeal lodged by the Consortium, which led to the revocation of the decision on the cancellation of the procurement process, and reinstatement of the Consortium’s tender, as well as two resulting from the actions of another contractor (that also submitted its offer in the procurement process) which challenged the selection of the Consortium’s bid.

Marcelina Daszkiewicz represented the Consortium in appeal proceedings. Marek Wojnar and Magdalena Piotrowska were also involved in the case.

On 15 November, 2017 act legal Germany, AC Tischendorf Rechtsanwälte took part in the ZHH Legal Forum on Outbound Investment in Chongqing, China.

Currently, Germany is the most attractive investment location in Europe due to its industry and political economic environment. Legal challenges of factoring companies by selling factoring claims

Dr. Roman Hager and Dr. Martin Wiedenbauer analyse in their scientific article published in the Journal of Banking and Financial Research (BankArchiv) the legal challenge of factoring companies by selling factoring claims.

For companies the factory business continues to gain significance. In 2015 in Austria more than 18 billion of claims were sold via factoring. This is a growth of roughly eleven percent compared to the previous year.

In order to provide the increased requirements for liquid resources, factoring companies must be able to resell the claims which they have already acquired from their customers („factoring claims“). This possibility is essential in order to ensure an effective factoring market and to enable alternative sources from credit institutions in times of difficult financing conditions. The regulation under banking law and the restrictive judicature on transferability of credit claims make the refunding of Austrian factoring companies noticeable more inflexible compared to their competitors based abroad.

Very strict legal requirements have an impact on financing options of Austrian companies and they can have a negative undesirable economic impact. It is therefore, necessary to think about legal options which improve the competitiveness of Austrian factoring companies.

act legal Poland as advisor to investment funds managed by Credit Value Investment

The lawyers of act BSWW provided legal services to investment funds managed by Credit Value Investment (CVI) on the issuance of bonds by Telematics Technologies sp. z o.o. with a total nominal value of approx. PLN 48m for the purpose of refinancing the participation of MCI. Tech Ventures in Naviexpert sp. z o.o.

act BSWW also advised on phantom shares option provided for in the rules agreed by the Parties.

Moreover, act BSWW compiled documentation related to the bond issue in question, including securities-related documents.

The project was supervised by managing partner Piotr Smołuch. The legal team also included senior associate Michał Pawlak.
