Current Difficulties with VAT Refunds in Real Estate Transactions in Poland

Malgorzata Wasowska, head of tax practice, and Sergiusz Felbur, associate, from act legal Poland published an article about VAT refunds in CEE Legal Matters. The Polish tax authorities have once again changed their view on the VAT classification of specific activities. This time, the shift in opinion concerns real estate deals. Until quite recently, tax authorities agreed that in general the sale of a commercial building constituted a supply of goods and thus was subject to VAT.

Capital Markets: The Bond Market in Poland Continues to Grow

Piotr Smoluch, managing partner, and Jakub Salwa, partner, from act legal Poland published an article about capital markets in CEE Legal Matters. The corporate bond market in Poland has continued to develop steadily throughout recent years and experienced marked growth in 2016. This is mainly due to the fact that the whole market continues to function in an environment of low interest rates.

act legal Poland as advisor on bond issue of Murapol S.A.

act BSWW advised financial investors in terms of a bond issue by Murapol S.A. and a company belonging to the group Murapol S.A. – Aoram sp. z o.o. with a total nominal value of about PLN72m (in two separate issues).

Murapol S.A. issued unsecured series BA bonds with a nominal value of about PLN28m, Aoram sp. z o.o. issued secured series A bonds with a nominal value of PLN44m. act BSWW prepared all the documents related to the issues, including the documents concerning the securities established for series A bonds issued by Aoram sp. z o.o. The work on the project was supervised by Iwona Kurylak, attorney-at-law, and Piotr Smołuch, attorney-at-law.

We are very happy to announce that act legal Germany, AC Tischendorf, has been nominated for the JUVE award „Law Firm of the year for medium-sized business“.

With this award, JUVE acknowledges the entire development of law firms beyond its specific fields of law. Amongst others, it evaluates special management performances. The size of the law firms is not decisive, it is more the fact that advice of medium-sized businesses is the core of activities.

Moreover, client orientation, the law firm’s culture, talent development, profitability, personnel growth as well as its expansion into new business areas or markets belong to the jury’s criteria for the award.

JUVE honors young entities as well as long-standing, established players, which have developed dynamically within the last year. Law firms that belong to major units can also be nominated – provided that their strategic focus is currently or will perspectively be on medium-sized businesses.

The nominations are based on the extensive work of the editors for the JUVE manual as well as for the JUVE magazine for business lawyers in Austria. act legal Czech Republic once again partners with ECCE

For the third year now, act legal Czech Republic (ŘANDA HAVEL LEGAL) has partnered with the European Centre for Career Education (ECCE), which focuses on providing additional and needed know-how and experience that is otherwise impossible to get at a university.

For 2017, ECCE created a unique set of summer programmes on Law, International Business, Medicine and Architecture. ECCE provides its students with internships after completing the programme by partnering with companies not just in Prague, but through in the entire European Union.

This summer, ŘANDA HAVEL LEGAL welcomed to its office two Chinese students taking part in a several-week internship to put their study knowledge into practice.

One of ECCE’s lecturers, who regularly attend lectures for students in the summer programme, is Mgr. Alois Šatava, partner of ŘANDA HAVEL LEGAL.

Summit sells 18 supermarkets throughout Germany

The Summit Real Estate Group, which is listed on London’s Stock Exchange, sold 18 supermarkets to the Israeli real estate investor LAHAV Real Estate Group.

Over the last years, Summit invested primarily into office and production buildings. The sale of this retail portfolio to LAHAV was a logical step towards the focus on its core business. The transaction was structured as a share deal.

The counsel team was headed by Dr. Tara Kamiyar-Müller and Dr. Matthias Müller, MBA. It further consisted of Dr. Fabian Laugwitz, MBA, LL.M. and Monique Meyerer.

Nielsen relies on act legal Poland

act BSWW advised Nielsen in the intragroup merger between its Polish subsidiaries i.e. ACNielsen Polska Sp. z o.o. with its seat in Warsaw and Brandbank (Poland) with its seat in Szczecin.

Marta Kosiedowska was the leading partner responsible for the project and was supported by associate Marlena Suchonos. The Warsaw team was responsible for preparation of the merger’s documentation and finalization of the process. 

”Nielsen is our long term client to whom we are providing day-to-day assistance with respect to contractual and corporate matters for several years now. We really appreciate that we were engaged in the process of intragroup merger and hope to provide additional value to Nielsen in other key matters,” said Marta Kosiedowska.

act legal Poland, BSWW, assists ECC Group

With the support of act BSWW, ECC Group has signed new lease agreements for space in a shopping center near Warsaw. The group of Nowa Stacja tenants was joined by a Danish household goods distributor Jysk, one of the leaders in the optical industry Vision Express and a producer and importer of sports clothing, footwear and accessories Martes Sport. Other tenants of the shopping center include, among others, H&M, Carrefour, Multikino, Super-Pharm, Euro RTV AGD, CCC, KFC, Olimp, Zdrofit, and tour operators Itaka and Rainbow.

act BSWW advised ECC Group during negotiations of the lease agreements, starting with preparing a draft agreement, through negotiations with tenants and, ending with issues related to the performance of the agreements.

The work of the legal team was headed by Michał Wielhorski, managing partner. The project was coordinated by Katarzyna Okonek, associate. The team also included Alicja Sołtyszewska, partner, Katarzyna Marzec, partner, and Izabela Żmijewska, senior associate. 

“We see the growing potential of shopping centers located outside the main Warsaw commercial zones. It is definitely an answer to the needs to those who live on the outskirts of the capital but often work in Warsaw,” said Michał Wielhorski about the current situation on the commercial real estate market.

The Nowa Stacja shopping center has a leasable area of 26,000 square metres and 3 floors, comprising more than 120 commercial premises. In addition to shops and service outlets, shopping center customers will also enjoy sports and entertainment facilities.
