The Riverside Company sells the division „Mission Critical Systems“ of KEYMILE to ABB

The Riverside Company sold together with its co-investor Halder the division „Mission Critical Systems“ of their joint portfolio company KEYMILE to the global technology group ABB. The parties have agreed not to disclose the purchase price. The transaction still requires the approval of the antitrust authorities.

This transaction allows ABB to expand its market reach and strengthen its position in the fields of application-critical systems. The acquisition contains important products, software and service solutions as well as research and development expertise.

Summit acquires a big commercial property portfolio in Wolfsburg, Germany

The Summit Real Estate Group, which is listed on London’s Stock Exchange, acquired a big commercial property portfolio consisting of 22 building complexes worth € 105 million. € 66 million of the value are financed by borrower’s note loans. The majority of the buildings are factories, office and logistic buildings let to companies of the VW Group and VW suppliers.

The transaction was structured as a share deal and the financing by borrower’s note loans was taken over by Summit.

act legal Germany, AC Tischendorf, supports Nedschroef in the acquisition of the German CPTech Group by giving advice on all matters of German law. The parties have agreed not to disclose the purchase price. The transaction still requires the approval of the antitrust authorities.

Nedschroef is the leading automotive fasteners supplier in Europe from the Netherlands with a global revenue of € 629 million in 2016. It employs about 2,000 people in 26 locations in 14 countries. CPTech is a leading component manufacturer for the automotive industry and employs about 175 people in Büren, Germany.

WMWP had advised the aws Mittelstandsfonds already in the course of its early-stage investment in 2013 in POOL4TOOL, a leading provider of software solutions in the field of purchasing, logistics, and sales processes. The further development of SaaS Solutions created by POOL4TOOL for the optimization of purchasing logistics, and sales processes, the founding of a new subsidiary in Serbia as near-Shore development centre and the process of building the company’s international sales with a focus on the USA, was made possible by the provided growth capital.

At the end of May 2017 POOL4TOOL decided to merge with a strong partner in the procurement sector – Jaggaer, one of the leading procure-to-pay provider in the higher education and government sectors worldwide. The successfull merging with Jaggaer made the exit of aws Mittelstandsfonds possible and who managed successfully to withdraw from the investment.

The Belgian diagnostics group Eurofins Scientific SE has acquired all of the GATC Biotech AG share capital. The parties have agreed not to disclose the purchase price. The transaction still requires the approval of the antitrust authorities.

Eurofins Scientific, with an annual turnover in excess of 2.5 billion euros and a workforce of more than 28,000 in over 310 locations in 39 countries, is a leading international group of laboratories providing a broad range of testing and support services for the pharmaceutical, food, environmental and consumer products industries as well as being a worldwide leader in the bioanalysis field.

GATC, founded in 1990, is one of the top specialists for DNA sequencing inEurope, with over 10,000 clients in the science, industry and healthcare sectors. GATC has particular expertise in sequencing methods (Sanger and NextGeneration Sequencing) and achieves an annual turnover of around 20 million euros at its sites in Constance and Cologne with a staff of about 140 personnel.

The acquisition will further strengthen Eurofins’ technological platform and reflects the group’s committed dynamic growth strategy.

Background to retainer: The GATC transaction was characterized by a very narrow transaction window. AC Tischendorf managed to wrap up the whole transaction in just two weeks and therefore succeed in further consolidating their already excellent client relationship with the buyer. AC Tischendorf have been acting for Eurofins for many years on a regular and comprehensive basis.The law firm has already successfully advised Eurofins on several transactionsin the past, including the acquisition of a group of clinics.

The Salzburg-based target company is one of the leading referral marketing agencies for small and medium-sized enterprises in Austria and Germany. The founders of FirmenABC will remain minority shareholders and will further support the group with their market know-how and management skills. The sellers have counted on the legal advice of Johannes Aehrenthal (CHSH).

Investnet (Switzerland/Austria/Germany) implements growth and succession solutions. The acquisitions and shareholdings are financed through direct investments made by members of Investnet Verein. One of Investnets USPs is that in each investment case, at least one of the investors serves as lead investor.
