act legal Spain advises Fourthline on its merger with Veridas

The firm has advised on the international transaction, providing Spanish law advice and conducting legal and tax due diligence on Veridas.

act legal Spain has advised Fourthline on its merger with Spanish technology company Veridas, a transaction that creates an international group specialising in digital identity verification, regulatory compliance and fraud prevention, with operations in more than 50 countries.

The firm acted as Fourthline’s lead Spanish legal adviser, working alongside Dutch law firm Orange Clover, which was responsible for advising on Dutch law. Both firms coordinated the team of advisers involved in the transaction, which completed on 3 November following the satisfaction of all conditions to completion.

The advice provided by act legal Spain included legal and tax due diligence on Veridas, support throughout completion of the transaction and ongoing assistance with Spanish legal and tax matters arising during the process. The firm’s team comprised Alberto Senante, Cristina Alba, José María Rodríguez and Gonzalo Cabañas.

The transaction, initially announced in July 2026, includes financing of up to €65 million, provided by existing shareholder Finch Capital, a new equity investment from Seaya Andromeda and debt financing from Ashgrove Capital.

The funds will be used to drive technological innovation, pursue further strategic acquisitions, refinance debt and support a shareholder restructuring that provides partial liquidity for Veridas’ shareholders.

An international transaction in the technology sector

The integration combines the expertise of Fourthline, a company founded in Amsterdam in 2017 and specialising in identification and regulatory compliance solutions for financial institutions, with Veridas’ technology in biometrics, document analysis, voice recognition and fraud prevention.

The combined company will be headquartered in Amsterdam, with offices in Stockholm, Pamplona, Barcelona, Mexico City, São Paulo and Boston. Its integrated platform will enable it to offer identity verification and regulatory compliance services to businesses in Europe, Latin America and the United States.

According to the forecasts announced by the companies, the group expects to exceed €50 million in combined revenue in 2026 and reach €85 million in annual recurring revenue in 2029. It also expects to generate annual synergies of €20 million.

act legal Spain’s involvement in this transaction highlights its expertise in advising on international corporate transactions, particularly those requiring coordination between legal teams across different jurisdictions.

The transaction reflects the value of advice that combines legal and tax analysis with an understanding of the transaction’s business objectives. In this case, act legal Spain’s involvement covered various stages of the process, from the legal and tax review of the Spanish company through to support at completion.
