Comprehensive legal support in the public tender offer for shares in Skarbiec Holding S.A.

Our team: Piotr Wojnar, Janusz Szeliński, Łukasz Polak, Łukasz Świątek, Katarzyna Krzykwa, Anna Sawaryn – successfully provided comprehensive legal assistance to the Client in connection with the announcement and execution of a tender offer for the sale of shares in the public company Skarbiec Holding S.A.

The firm also represented the Client in proceedings before the President of the Office of Competition and Consumer Protection (UOKiK), obtaining a positive decision regarding the potential concentration resulting from the tender offer.

According to the decision of the Polish Financial Supervision Authority (KNF), the tender offer was carried out under the provisions of the Act on Public Offerings, the Conditions for Introducing Financial Instruments to an Organised Trading System, and Public Companies, as applicable prior to 30 May 2022 – that is, before the most significant amendment to the regulations governing public tender offers came into force. As such, it was most likely the last tender offer to be carried out for the sale of shares representing up to 66% of the total voting rights at the general meeting of a public company under the previous legal framework.
